EU Representation Letter

This Representation Letter is provided by the entity below (“Client”) to assist BitGo Bank & Trust, National Association (N.A.), BitGo Prime LLC, BitGo Hong Kong Ltd., (“BitGo Group Entities”), BitGo Europe GmbH and BitGo Europe ApS (collectively, the “BitGo Europe Entities”) in ensuring compliance with applicable laws and regulations. By confirming this Representation Letter, Client represents to BitGo Group Entities and BitGo Europe Entities that:

  1. Client acknowledges that BitGo Group Entities are not licensed or authorized to provide crypto asset custody, trading, settlement and related services in the EU;

  2. Client acknowledges that BitGo Europe GmbH is a regulated custodian by the German Federal Financial Supervisory Authority (BaFin) and has received a Markets in Crypto- Assets Regulation (MiCAR) license for crypto custody and transfer services. BitGo Europe ApS is registered with the Danish Financial Services Authority as a VASP to provide crypto-custody services and exchange services. BitGo Europe Entities have applied for MiCAR licenses to provide crypto trading services;

  3. Client agrees that it approached BitGo Group Entities on an unsolicited basis and that any further approach to BitGo Group Entities regarding their products and services is at its sole and exclusive initiative; and

  4. Client agrees to review the business relationship with BitGo Group Entities and consider contracting with BitGo Europe Entities at an appropriate time.
